These Terms apply to all visitors, users, buyers, sellers, and others who access the Platform. Your use of the Platform constitutes your agreement to these Terms, as well as any additional policies referenced herein, such as the Privacy Policy, Refund Policy, and others.

Eligibility

Purchasing and Licensing Digital Products

  • The Platform allows you to browse, purchase, and download Digital Products created by third-party developers or us. All transactions are between you and the Seller, with us acting as a facilitator.
  • All purchases are final and non-refundable, except as outlined in our Refund Policy. Digital Products are licensed, not sold, to you under the terms of our License Agreement.
  • Upon successful purchase, you receive a non-exclusive, non-transferable, revocable license to use the Digital Product for your personal or internal business purposes only, subject to any additional terms provided by the Seller (e.g., usage restrictions, attribution requirements, or limitations on the number of devices).
  • You may not: (i) resell, sublicense, rent, lease, or distribute the Digital Product; (ii) reverse engineer, decompile, disassemble, modify, or create derivative works; (iii) use it in a way that violates any applicable laws, infringes third-party rights, or competes with the Platform; (iv) remove or alter any copyright notices or proprietary markings.
  • Prices are displayed in USD and exclude applicable taxes (including UAE Value Added Tax (VAT) where required), duties, or fees, which you are responsible for paying. We may change prices, promotions, or availability at any time without notice. Payment must be made at the time of purchase using accepted methods as detailed in our Payment Policy.

Seller Responsibilities

  • If you are a Seller uploading Digital Products for sale, you represent and warrant that you own or have all necessary rights, licenses, and permissions to the content, and that it does not infringe any intellectual property rights, contain malware, viruses, or harmful code, or violate any laws or regulations.
  • You grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, store, display, reproduce, distribute, and promote your Digital Products on the Platform and in marketing materials.
  • Sellers must provide accurate descriptions, features, benchmarks, compatibility information, and support details for their Digital Products. You agree to respond to buyer inquiries and resolve issues promptly, as outlined in our Seller Guidelines.
  • We may review, test, edit, remove, or reject any Digital Product at our sole discretion, without liability. Sellers are responsible for all taxes, including VAT, related to their sales.

Intellectual Property

  • The Platform, including its design, text, graphics, logos, interfaces, and underlying software (excluding User-submitted content), is owned by us or our licensors and protected by copyright, trademark, patent, and other intellectual property laws of the UAE and internationally.
  • User-submitted content (e.g., reviews, Digital Products, comments) remains owned by the submitter, but by submitting it, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display it in connection with the Platform.
  • You may not use any trademarks, logos, or branding from the Platform without our prior written consent.
  • If you believe your intellectual property rights have been infringed, please follow the procedures in our Intellectual Property Policy.

Prohibited Conduct and Content

  • Prohibited activities include, but are not limited to: (i) uploading, transmitting, or sharing content that is harmful, obscene, defamatory, discriminatory, or infringing; (ii) engaging in spam, phishing, or unsolicited communications; (iii) harassing, threatening, or impersonating others; (iv) interfering with the Platform’s operation, security, or integrity (e.g., hacking, DDoS attacks); (v) using automated scripts, bots, or scrapers without permission; (vi) circumventing any access controls or restrictions.

Disclaimers and Limitations of Liability

  • To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising from or related to your use of the Platform, even if advised of the possibility of such damages.
  • Our total aggregate liability for any claims under these Terms shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Neueal Systems L.L.C-FZ, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to: (i) your violation of these Terms; (ii) your use or misuse of the Platform or Digital Products; (iii) your infringement of any third-party rights; (iv) any content you submit or transmit.

Dispute Resolution

  • These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict of laws principles.
  • Any disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration in Dubai under the rules of the Dubai International Arbitration Centre (DIAC). The arbitration shall be conducted in English by a single arbitrator, and the decision shall be final and binding.
  • Notwithstanding the above, we or you may seek injunctive relief in the courts of Dubai for matters related to intellectual property or confidentiality. You waive any right to participate in class actions, class arbitrations, or representative actions.
  • If arbitration is unavailable or unenforceable, disputes shall be resolved in the competent courts of Dubai.

Changes to Terms

We may update these Terms at any time to reflect changes in our practices, laws, or features. We will notify you of material changes via email or on the Platform. Termination

Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution) will continue in effect.

Miscellaneous

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force.
  • These Terms, together with any referenced policies, constitute the entire agreement between you and us, superseding any prior agreements.
  • Our failure to enforce any right does not constitute a waiver.
  • You may not assign these Terms without our consent; we may assign them freely.
